TERMS OF SERVICE

1. AGREEMENT TO THESE TERMS

These Terms of Service (“Terms”) govern your access to and use of atelierelemental.ca (the “Site”) and your purchase of products through the Site. The Site is operated by Atelier Elemental Trading Corp., a corporation incorporated under the laws of Saskatchewan, Canada, with its principal place of business in Regina, Saskatchewan (“AE,” “we,” “us,” or “our”). By using the Site or placing an order, you (“you” or “the customer”) agree to these Terms and to our Shipping Policy, Returns & Refunds Policy, and Privacy Policy posted on the Site, each of which is incorporated into these Terms by reference. If these Terms conflict with one of those policies on its specific subject matter, that policy governs.

2. ELIGIBILITY

You must have reached the age of majority in your jurisdiction of residence to place an order through the Site. By placing an order, you confirm that you meet this requirement and that all information you provide to us is accurate and complete. Products are offered for delivery within Canada and the United States only, as set out in the Shipping Policy.

3. OUR PRODUCTS ARE INDEPENDENT DECANTS

AE is an independent business. We are not affiliated with, endorsed by, sponsored by, licensed by, or otherwise connected to any fragrance brand, house, manufacturer, or distributor whose products we decant.

Our products are decants: measured quantities of fragrance hand-poured by AE from authentic retail products into new, sterile containers supplied by AE, using careful transfer procedures designed to preserve the fragrance as sourced. Decants are supplied in AE's own containers and labelling. They do not include, and are not sold in, the original manufacturer's bottle or packaging, and any manufacturer's warranty does not apply to them. Your remedies for any product issue are set out in these Terms, the Shipping Policy, the Returns & Refunds Policy, and Section 21.

Brand and fragrance names appear on the Site solely to identify the genuine product from which each decant is drawn. All third-party trademarks, brand names, and product names are the property of their respective owners, and nothing on the Site is intended to suggest, and should not be understood as suggesting, any association between AE and any such owner.

4. PRODUCT DESCRIPTIONS AND VARIATIONS

Product images on the Site are illustrative; decants are supplied in the container described on the product page, which will differ from the original manufacturer packaging shown in any reference imagery. Fragrance manufacturers may vary formulations, concentrations, and batches over time, and the batch from which a decant is drawn may differ from batches you have experienced elsewhere. Scent perception is subjective and varies from person to person. None of the variations described in this section is a defect; a product that is defective or does not correspond with its description on the Site is covered under the Returns & Refunds Policy.

5. SAFE USE AND STORAGE

Fragrance products are alcohol-based and flammable. Keep products away from heat, sparks, open flame, and other sources of ignition. Products are supplied for external, personal cosmetic use only; do not ingest. Keep out of reach of children and pets. We recommend a patch test before full use of any new fragrance; discontinue use if irritation occurs. Store decants upright, tightly capped, in a cool place away from direct sunlight.

6. ORDERS, ACCEPTANCE, AND PRICING

Your order is an offer to purchase. We may accept or decline any order, in whole or in part. Our acceptance occurs when we dispatch your order; an email acknowledging receipt of your order is not acceptance. We may limit or cancel quantities purchased per person, per household, or per order, including where an order appears to be placed for resale. Where a product is listed with an incorrect price or materially incorrect information because of an error, we may cancel the affected order before dispatch, in which case you will receive a full refund in accordance with Section 10 of the Shipping Policy. All prices are stated in Canadian dollars (CAD) unless expressly indicated otherwise, and applicable taxes and shipping charges are shown at checkout before you place your order.

7. PAYMENT

Payments are processed by third-party payment processors made available through our e-commerce platform. By placing an order, you authorize the charge of the total amount shown at checkout, including taxes, shipping charges, and any optional add-ons you select. We may take reasonable steps to verify your identity and payment information and may cancel any order we reasonably suspect to be fraudulent or unauthorized; any amounts already charged for an order we cancel will be refunded in accordance with Section 10 of the Shipping Policy.

8. SHIPPING AND DELIVERY

Delivery areas, shipping rates, dangerous goods handling, delivery estimates, and remedies for late, lost, or transit-damaged orders — including the optional Priority Package Protection service — are governed by our Shipping Policy.

9. RETURNS, REFUNDS, AND CANCELLATIONS

Pre-dispatch cancellations, coverage for wrong, defective, or not-as-described items, refund method and timing, and the matters we cannot accept returns for are governed by our Returns & Refunds Policy.

10. PROMOTIONS AND DISCOUNT CODES

Unless expressly stated otherwise, discount codes are limited to one per order, have no cash value, cannot be applied to past orders, and may be modified or withdrawn in the case of error or abuse at any time before an order is accepted.

11. INTELLECTUAL PROPERTY AND SITE LICENCE

The Site and its content — including text, product descriptions, images, layout, and the Atelier Elemental name and branding — are owned by AE or its licensors and are protected by applicable intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for personal, non-commercial purposes. Third-party trademarks appearing on the Site are the property of their respective owners as described in Section 3.

12. ACCEPTABLE USE OF THE SITE

You agree not to: use the Site for any unlawful purpose; access the Site by automated means, or scrape, harvest, or copy Site content, except as permitted by us; interfere with the operation or security of the Site; misrepresent your identity or provide false information; or resell access to the Site or its content.

13. REVIEWS AND SUBMISSIONS

If you submit a review or other content to the Site, you confirm it is your own, honest, and lawful, and you grant AE a non-exclusive, royalty-free licence to use, reproduce, and display it in connection with the Site and our marketing. We may decline to publish or may remove any submission at our discretion.

14. PRIVACY

Our collection, use, and disclosure of personal information is described in our Privacy Policy posted on the Site.

15. DISCLAIMERS

The Site is provided on an “as is” and “as available” basis, and, to the maximum extent permitted by applicable law, we do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. With respect to products, our commitments are those expressly set out in these Terms, the Shipping Policy, and the Returns & Refunds Policy, and, to the maximum extent permitted by applicable law, all other representations, warranties, and conditions are disclaimed. This section is subject in all respects to Section 21 and does not limit or exclude any statutory warranty or other right that cannot be waived by agreement.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law: (a) AE's total aggregate liability arising out of or relating to an order, or to your use of the Site, is limited to the total amount you paid for the order giving rise to the claim; and (b) AE is not liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, or data. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, and nothing in this section limits the remedies expressly provided in the Shipping Policy or the Returns & Refunds Policy. This section is subject in all respects to Section 21.

17. INDEMNITY

You agree to indemnify AE against losses, damages, and reasonable costs arising from your breach of these Terms or your unlawful use of the Site, except to the extent caused by AE.

18. REFUSAL AND SUSPENSION OF SERVICE

We may refuse service, cancel orders, or suspend or terminate access to the Site where we reasonably believe these Terms have been breached or where fraud or abuse is suspected. Any amounts you have paid for orders that will not be delivered as a result will be refunded in accordance with Section 10 of the Shipping Policy.

19. EVENTS BEYOND OUR CONTROL

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including carrier disruptions, severe weather, labour disruptions, or actions of government authorities. This section does not affect your refund and cancellation rights under the Shipping Policy, the Returns & Refunds Policy, or applicable law.

20. GOVERNING LAW AND DISPUTES

If a problem arises, please contact us first using the details in Section 24; most issues are resolved quickly under our policies. These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. The courts of Saskatchewan have non-exclusive jurisdiction over disputes arising out of these Terms. Nothing in this section prevents you from bringing a claim in the courts of the jurisdiction where you reside, or from relying on the mandatory consumer protection laws of that jurisdiction, and nothing in these Terms requires you to arbitrate any dispute or prevents you from participating in any proceeding available to you by law.

21. YOUR STATUTORY RIGHTS

These Terms set out our standard commitments. Nothing in these Terms limits, excludes, or modifies any right or remedy you have under applicable consumer protection legislation that cannot be waived by agreement, including the statutory warranties under The Consumer Protection and Business Practices Act (Saskatchewan) and the consumer protection laws of the jurisdiction where you live. If anything in these Terms is inconsistent with such a right or remedy, the right or remedy prevails.

22. CHANGES TO THESE TERMS

We may amend these Terms from time to time. The version of these Terms in effect at the time you place an order governs that order. Your continued use of the Site after amended Terms are posted constitutes acceptance of the amended Terms with respect to your use of the Site. The effective date of the current version is set out above.

23. GENERAL

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision is deemed modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours to an affiliate or in connection with a sale or reorganization of our business. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that communications be in writing. Sections that by their nature should survive — including Sections 3, 11, 15, 16, 17, 20, 21, and 23 — survive any termination. Headings are for convenience only. These Terms, together with the policies incorporated in Section 1, constitute the entire agreement between you and AE regarding the Site and your orders.

25. LANGUAGE OF THIS AGREEMENT

These Terms are provided in both English and French. For consumers resident in Quebec, the French version prevails in the event of any inconsistency between the two versions. For all other consumers, the English version prevails.
